Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the Finderly application (the "App"). Finderly is owned and operated by AI Vision Technologies Inc. By accessing or using the App, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the App.

1. Scope of Services

• Lead Generation: Finderly provides phone numbers that connect users to third-party home improvement service providers. Any arrangement or agreement you make with a service provider (including pricing and scope of work) is strictly between you and that provider.
• AI-Generated Quotes: We may display AI estimates for services, which are generated based on your general location (derived from your IP address and/or any information you enter). These estimates are for informational purposes only, do not guarantee final pricing or service suitability, and are subject to change without notice. These estimates are provided for general informational purposes only and do not constitute a contractual offer or professional advice.
• Approximate Listings: Services and neighborhoods listed in the App or on our website are approximate. Actual service availability and provider participation depends on your location and our partners’ coverage.

2. Use of the App

• Prohibited Activities: You agree not to disrupt or interfere with the security or proper functioning of the App, nor engage in any activity that could compromise the App or its users.

3. Media Uploads, Permissions, and Content

• Permissions: To enable certain features, the App may request your permission to access your device’s camera or microphone. Granting these permissions is optional. If declined, you may still upload media (photos, videos, audio) from your device’s gallery.
• Content Moderation: Any media (photos, videos, or audio) you upload or capture through the App may be stored on our servers, shared with third-party providers for moderation and analysis, and may be retained. You are solely responsible for not uploading media that contains sensitive, confidential, or personally identifiable information.
• User Content: By uploading or submitting any content, you grant Finderly a non-exclusive, royalty-free, worldwide license to use, process, and display your content in connection with providing and improving the App.
• Prohibited Content: You agree not to upload content that is illegal, infringes on others’ rights, contains harmful software, or violates these Terms.

4. Affiliation with eLocal

• eLocal Affiliation: Finderly partners with eLocal to connect you with third-party home improvement service providers by displaying local provider phone numbers in the App. We do not collect your ZIP code in the App. If you call a provider, eLocal or the provider may ask for your ZIP code or other information during the call. Any information you provide by phone is governed by eLocal and the respective service provider's terms and privacy policy.
• No Endorsement or Guarantee: Finderly does not endorse, guarantee, or recommend any particular provider. Providers are independent contractors, not agents or employees of Finderly.
• No Guarantee of Services: Finderly is not responsible for and does not guarantee the quality, pricing, suitability, timeliness, or outcome of any services provided by third parties to whom you are connected via eLocal.

5. Intellectual Property

• Ownership: All content, features, and functionality in or on the App (including, without limitation, all software, text, images, trademarks, and logos) are owned by or licensed to AI Vision Technologies Inc. and are protected by intellectual property laws.
• License to Use: Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable license to use the App for your personal, non-commercial purposes only.
• Restrictions: You agree not to copy, modify, distribute, sell, or lease any part of the App or its content unless you have written permission from AI Vision Technologies Inc.
• All rights not expressly granted are reserved.

6. Disclaimers

To the maximum extent permitted by applicable law, the App is provided "as is" and "as available" without warranties of any kind, whether express or implied. Finderly and AI Vision Technologies Inc. disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure, nor do we make any warranty as to the accuracy, reliability, or availability of any information or services obtained through the App.

7. Limitation of Liability

In no event shall Finderly, AI Vision Technologies Inc., its affiliates, directors, employees, or agents be liable for any indirect, consequential, exemplary, incidental, or punitive damages, including loss of profits, even if we have been advised of the possibility of such damages. Our total liability under these Terms for any claim arising out of or relating to use of the App shall not exceed the amount you paid, if any, to access or use the App.

8. Indemnification

You agree to indemnify and hold Finderly, AI Vision Technologies Inc., its affiliates, and their respective officers, directors, employees, and agents harmless from any claims, damages, liabilities, losses, or expenses (including reasonable attorneys’ fees) arising out of or in connection with your violation of these Terms or your use of the App.

9. Termination

• Termination by Finderly: We reserve the right to terminate or suspend your access to the App at any time, with or without notice, for any reason, including your breach of these Terms.
• Effect of Termination: Upon termination, your right to use the App will immediately cease. Sections of these Terms that by their nature should survive termination shall survive.

10. Modifications to the App and Terms

We reserve the right to modify or discontinue, temporarily or permanently, the App or any features without notice. We may also update these Terms from time to time. We will notify you of any significant changes by posting the updated Terms in the App or through other appropriate means. Your continued use of the App after such changes indicates your acceptance of the new Terms.

11. Governing Law and Dispute Resolution

• Governing Law: These Terms and any dispute arising from them or the App shall be governed by the laws of the State of Texas, United States, which is the laws of the jurisdiction in which AI Vision Technologies Inc. operates, without regard to its conflict of law principles.
• Dispute Resolution: You agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms through negotiations in good faith or, if those fail, through binding arbitration or small claims court where applicable and allowed by law.

12. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and AI Vision Technologies Inc./Finderly regarding your use of the App and supersede all prior or contemporaneous agreements.

14. Acceptance

By downloading, installing, accessing, using the App, or continueing to use the app you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, you must immediately discontinue use of the App and uninstall it from your device.
